PREAMBLE

(AUM) African united movement is the Non-governmental organization and it was registered as the Non-governmental organization on the th 10 day of sept. 2015, by Ministry of Internal Affairs in Uganda, however, in 2018 the Founder member of (AUM) African united movement realized that, changes had to be made within its Constitution.

However, after long mutual deliberations agreed upon to amend the Constitution and also to re-structure the (AUM) African united movement to be a global Non-governmental organization with the aim of educating natural human beings of Black human beings, White human beings and Brown human beings about the users of human racism propaganda ideology machine as their weapon of massive destruction of natural human beings in the wake of creating of artificial human beings of mixed human race through mixed human race marriages and mixed human race sexual relationships.

CHAPTER I

The Name of the company is; African United Movement (AUM)

The Registered Office of the Company is situated at Matia Mulumba Road, Old Kampala, Plot No. 1 B Chicken House in Uganda.

The objectives of which the Company is established are;- To serve as volunteers in cultivating Hope, peace, stability and developments among the human beings of Local Black communities in Uganda and Africa.

ARTICLE 1: Languages

The official Languages and the model of communication of the Association are Luganda Language and an English Language.

CHAPTER II

ARTICLE I:

Vision, Mission, Belief and Objectives

The Vision is:

"To combine the global natural human beings' efforts to protect the future generations of natural human beings in Uganda, Africa and around the world"

The mission is:

"To educate natural human beings about the destruction of natural human beings through the engagement of mixed human race marriages and mixed human race sexual relationships"

The Belief is:

"The Almighty God the creator, created natural human beings with the purpose to remain as natural human beings not to turn into Artificial human beings in Uganda, Africa and around the world"

ARTICLE 2: Objectives

The objectives for which Association is established are:

(a) To sensitise natural human beings against Racism propaganda ideology machine based on the unwise propaganda of Later Nelson Mandela and the ANC Political party with its policies of racism propaganda ideology machine without understanding that, every human being whether a natural human being and an artificial human being is a Racist because of every human being he or she is a face of a particular human race whether, a Black human race, a White human race, a Brown human race and a mixed human race and therefore, the use of racism propaganda ideology machine must stop in Africa and around the World.

(b) To make sure that, human beings of different human races are educated about human races in Africa and around the world, because racism propaganda ideology machine is used as the weapon of massive destruction of natural human beings and it makes any human being whether a Black human being or Non-Black human being to look like "a Stupid, foolish or Mentally confused", to guide Local Black communities in Uganda and around Africa in all aspects of life including social, economic and security outsourcing income generating activities and to create jobs for the un employed members of Local Black communities through income generating projects, to make sure that, Local Black communities of different Black states in Africa to come to the normal senses of positive thinking on which Black human beings should focus on the protection their Black human identity and an African territorial identity against Non-Black human beings.

(c) To work together for the promotion Local Black communities in Uganda and around Africa, Black human males and Black human females must be educated in order to stop the violation of Natural human beings' rights of unborn babies of which Black human females and Black human females create artificial Brown babies of a mixed human race against Non-Black human males and Non-Black human females by engaging themselves into mixed human race marriages and mixed human race sexual relationships.

(d) To educate Local Black communities in South Africa to stop using racism propaganda ideology machine or Racist Ideology as unwise, it shows primitiveness and backwardness which insights human race violence, bogus human racism claims whose intentions are to encourage more destruction of natural human beings especially Black human beings and White human beings in Africa and around the world.

(e) To seek and raise funds including donations from Local Black communities in Uganda and around Africa in order to meet the needs of the orphans and the vulnerable human beings among different Local Black communities, to carry out fund raising drives, receive and administer gifts, offerings, grants, donations and other activities intended to help in the welfare of the association and those it intends to serve, to extend a helping hand in order to meet the needs of the orphans and the needy including teaching how to get rich, great and successful in life hence helping them to look at their future with hope, to give counseling and guidance to those with poor background to think positively about themselves and developing/exploiting their talent, to protect the Environment in Uganda and around Africa against plastic wrapping bags or "OBuveera in Luganda Language."

(f) To promote and protect Black cultures, Black languages of Local Black communities in Uganda and around Africa including organizing monthly get together parties in order to know one another better, to identify schools more willing to provide half or full bursaries to students/children from different Local Black communities in Uganda and also visiting the sick ones in their homes and those in hospitals mainly to comfort them and to give them hope.

(g) To recognize that, Black sovereign states in Africa are indeed have taken a greater stride in the area of Black state developments and also there is a need for a complimentary role from Private sector and Non-governmental sector to enhance peace, stability and Developments amongst Black sovereign states and how Black families can be able to help their children grow up as useful citizens, intelligent, with good moral characters and as hardworking, to teach the children how to get the best out of the youthful stage in life and members and non-members of human beings how to create a happy and a prosperous Local Black families and Africa united movement would work with any polical party which protects the Sovereign State of Uganda for the interests of Local Black communities.

(h) To create branches/offices in different parts of Uganda plus appointing representatives among Black sovereign states in Africa, in order to extend our services, to solicit and or lobby for necessary support materially and financially both from national, international individuals, companies, government agencies, non-governmental association, and Donor Agencies in order to facilitate the promotion of the human welfare of virtuous women, unemployed youth, orphaned, vulnerable human beings by providing homes and other basic needs especially for abandoned children.

(i) To amalgamate with any other Association having the similar objectives altogether or in part similar to those of this Association, to provide free services in terms of school materials, render agricultural technology and agribusiness advisory services and construction materials, to do all other lawful things conducive to the attainment of the above objectives or as may be required under the laws of Uganda.

(j) To improve the lives of Local Black communities in Uganda include: Homelessness of Black Children, Black Elders, Disabled Black human beings by providing them with a better environment and also by involving all Local Black communities into the productive activities which are based on Local Black communities and Black sovereign state social developments in the nature by ensuring that, vulnerable black human among Local Black communities, so that, they can enjoy the reasonable living standards.

(k) The need for "(U.P.L.R.I.A) (Universal Prevention Refugees in Africa" to be implemented in Africa, in order Black human beings themselves to be able to focus on Local Black communities' issues in Africa such as Local Black Languages, Black Cultures, Local Black Developments, Black Poverty Alleviation, a Black human identity and an African territorial identity and also the protection of unborn black babies in Uganda and around Africa by implementing the law of "(U.P.N.H.B) (Universal Protection of Natural Human beings)" in order to stop the menace of mixed human race marriages and mixed human race sexual relationships as well as to advocate for implementation of ("(U.B.H.P.H) (Universal Black human public holiday ".

(l) To educate Black human beings to be aware of the Hypocrisy of some politicians who use East Africanism propaganda ideology machine and Africanism propaganda ideology machine as their scenario, in order to confuse Local Black communities and foreign Black communities in Uganda and around Africa.

(m) The stablishment of School Academy in name of African united movement in Uganda.

(v) To educate Baganda of Buganda community to be aware of OLuganda, "Olugandagaro" and to advocate for the implementation of Buganda community ID of Baganda by the Ssabajja Kabaka of Buganda through "A bakulu be biika" in order Baganda to identify themselves from Non-Baganda in order deter Non-Baganda from abusing Buganda identity.

CHAPTER III

IT IS HEREBY DECLARED

In the interpretation of this clause the meaning the Association's objectives shall not be restricted by reference to any other objectives or by juxtaposition of two or more objectives other name of the Association, and the objectives specified in each of the paragraphs of this clause shall, unless otherwise provided, be regard as independent objectives and in case of any ambiguity this clause shall be constituted in such a way as widens and not to restrict powers of the Association.

The liability of members is limited THE LIABILITY OF MEMBERS IS LIMITED BY GUARANTEE

Every member contributes to the assets of the Association.

In the event of it being wound up while a member, or within one year afterwards, for payment of the debts and liabilities of the Association, contracted before such a member ceases to be a member, and the costs, charges and expenses of winding up for the adjustments of rights of the contributors among themselves, such amount as may be required not exceeding Uganda shillings, Two Hundred Thousand (Shs. 200,000/=)

In the case of winding up dissolution of the Association, whatever remains after satisfaction of all assets, debts and liabilities, any property whatsoever, the same shall be transferred to anybody or institution having wholly or partly similar objectives to the objectives of (AUM) African united movement and in accordance with the wishes and desires of the bona fide donors and contributors of the Association's funds, provided that the managing or controlling organ of the Association for the time being exercising such control shall have the power to determine the recipient body/bodies of institution(s) aforesaid.

We, the several human beings whose names and addresses are subscribed are desirous of being formed into a company in accordance with this Memorandum of Association.

THE REPUBLIC OF UGANDA COMPANY LIMITED BY GUARANTEE WITHOUT SHARE CAPITAL ARTICLES OF ASSOCIATION OF AFRICAN UNITED MOVEMENT (AUM)

In these Articles Association the following words and phrase shall have the meanings attached to them respectively viz:

CHAPTER V

ARTICLE 1: MEMBERSHIP

Membership should be limited to (AUM) African united movement any Black human being of a Local Black community in Uganda who is interested and any Black human being of Local Black community in Africa who is interested to become a member, Local community based Associations, NGOs and other Black human beings interested in or working in social development. All intending personalities, bodies or groups of human beings wishing to join the organization would formally apply to the executive committee for approval of their membership free of charge. All applicants whose applications are approved will be registered in "a Register of Members".

A Membership fee of Ug. 220,000/= (two hundred twenty Thousand Shillings only) and a Subscription Fee determined at the AGM, would be paid only by its members on an annual basis. All those human beings, groups, bodies, etc, would register with this Article other than the founding members should be referred to as "Working Partners".

Founding and Life Membership

Founding and life membership in the Association will at all times be limited to signatories to this Articles and Memorandum of Association or otherwise by decision at the AGM.

Rights and Obligations of Founding and Life Members

Life and founding members as set in this Article is:

(i) To Show true commitment to the Association and its objectives.

(ii) To abide by the Articles, rules and regulations of the Association.

ARTICLE 2: QUALIFICATION OF A MEMBER,

Membership is passed upon qualification to the following four categories of members;

(i) A founder member and a Brain child of (AUM) African united movement.

(ii) The Co-founder members.

(iii) The Ordinary members and working partners.

(v) The Honorary members.

(1) Founder member

Kawere Mugwanya H. as a sound mind who created African United Movement (Aum) through sleepless nights with the guidance of Almighty God the creator for last 12 years, as the Brain child of (AUM) African united movement and he is a signatory to the Constitution of (AUM) African united movement, as a Founder, President and a Blackist and is an automatic member.

(2) Co-founder member

A member of African united movement with the sound mind who contributed for Registration of (AUM) in Uganda and is a signatory on the memoranda, as a Co-founder and membership of is automatic.

(3) An ordinary member

Any Black human being of a Local Black community in Uganda and Africa with the sound mind has to apply to become a member of (AUM) and he or she has to identify himself or herself with the Objectives and Idealogies of (AUM). he or she has a conditional membership as agreed upon by the Executive Committee, and approved by the President.

(4) Honorable member

He or she with the sound mind who accepts to contribute material support, financial support and morally support towards development of (AUM) African united movement

ARTICLE 3: CODE OF CONDUCT

(i) Every Registered member conducts himself/herself in a respectful manner and would not engage in any forbidden behavior like mixed human race marriages and mixed human race sexual relationship.

(ii) A member safe guards the confidence of those whom the member represents within the Association‘s committee, or from the entire Born Again community, throughout Uganda and beyond.

(iii) No member enters into any financial dealings on behalf of the Association, without consent and formal sanctioning of the relevant Executive Committee of the Association. Or by resolutions in Uganda or abroad.

(v) Any member may propose an idea and present the proposals to the Association.

(iv) Any member would strive more to encourage the creation of national and international relationships which will improve the Association in Africa and around the would.

(iiv) Seeking self-praise is prohibited.

ARTICLE 4: RESIGNATION OF A MEMBER

Any member who wishes to resign or rescind his or her membership may give a written member notice within 30 days to the President of the Association.

ARTICLE 5: WITHDRAWAL OF MEMBERSHIP

(i) The Association may by resolution of five of the Founding Members/ Executive Committee requires a member who belongs to the Associate membership of Working Partners to withdraw temporarily or permanently from membership.

(ii) Any member of the Executive Committee who fails to show commitment to the Association’s activities and objectives or who fails to attend five consecutive meetings of the Executive Committee without any genuine reason communicated to President shall have his/her membership terminated.

(iii) This will be done by founder members of the Association after serving the said member with five notices of intention to withdraw his or her membership.

(v) Except as otherwise stated in this Article all the members whose membership is terminated have the right of an appeal during the next meeting of the Executive Committee.

(iv) The appeal is directed to President through the Director General with the endorsement of at least three members of the founding body of the Association.

ARTICLE 6: CESSATION OF MEMBERSHIP

Membership of the Association shall cease upon:

(i) Death

(ii) Willing resignation

(iii) Insanity /lunacy

(iv) Expulsion on the decision from the Executive Committee approved and declared in the General Assembly for: Gross misconduct Abuse of office.

ARTICLE 7: General rights of the members

All members of African united movement have the same rights especially the rights to express freely their opinions, the rights to nominate, vote and to be elected, to be informed of activities of (AUM) and to benefit from the activities of (AUM).

ARTICLE 8: Procedure of discipline of a member

(i)There is no any Registered member of (AUM) will be expelled unless; one of the organs of (AUM) gives her or him a written warning.

(ii) One of the relevant organs of (AUM) maybe by a resolution, dismiss a member of (AUM) for failing to observe the rules and regulations, the code of ethics (conduct) or for conducting herself or himself in a manner in which is prejudicial against the interests of (AUM).

(iii) The duration of the suspension of a member of (AUM) would be not more than one month from the date of the suspension or be at the discretion of the relevant organs of (AUM), provided that, it would be fair and reasonable in such circumstances.

(v) The relevant organs of (AUM) would report within three months (3) at any extra-ordinary meeting about any member who has been suspended to the General Assembly of (AUM) which has the power to expel, re-instate, take disciplinary and legal measures, or forward the matter to court of law for prosecution, if the circumstances of case warrant.

(iv) The dismissed member of (AUM) may however, would appeal against such a dismissal to the annual General meeting through the founder as President of (AUM

ARTICLE 9: CERTIFICATES

(i) Every member would be entitled to a certificate under the common seal of the company, specifying the category of membership as aforesaid to which he or she is entitled and such certificate shall be in such a form as the Executive Committee may from time to time prescribe.

(ii) If several members are registered as joint holders of a membership, they are not entitled to more than one certificate among themselves and the delivery of such certificate to any one of the holders is a sufficient delivery to all such joint holders thereof.

(iii) A member is entitled to one certificate for his/her membership or to several certificates of his or her membership specifying the number and denoting members of the certificate in respect of which it is issued and the amount paid up thereon;

(v) The members observe the provisions of section 82 of the Act in relation to the issue of certificates, when any certificate is worn out or damaged, then on production thereof to the Executive Committee they may order it to be cancelled and shall, thereupon on payment of such a sum not exceeding Fifty thousand shillings or as the Executive Committee may from time to time prescribe, deliver another certificate to the person entitled to worn out or damaged certificate and any membership bearing specified.

(iv) When any certificate is lost or destroyed and prove thereof is given to the satisfaction of the Executive Committee, they may on payment of such sum as the Executive Committee may from time to time shall prescribe, not exceeding Fifty thousand shillings, deliver a new certificate to the person entitled to the lost or destroyed certificate and the membership therein specified provided that the Executive Committee, if in their discretion, think fit to do so, and before delivering the new certificate, require such guarantee or indemnity as they may think fit.

(iiv) When a membership is forfeited and the certificate thereof is not delivered up to the company, the Executive Committee may issue a new certificate of the membership distinguishing it as they think fit from the certificate not delivered.

CHAPTER IV:

Organs of (AUM) African United Movement are:

(ii) The General Assembly

(iii) The Administrative Committee

(v) The Executive Committee

(iv) The Local Black Coordination Committee

ARTICLE I: General Assembly's order:

(i) The General Assembly is the supreme organ which is made up of all members in Africa of (AUM).

(ii) (AUM) holds the ordinary sessions (meetings) twice a year.

(iii) (AUM) may hold an extra-ordinary session followed by a written request from the administration committee.

(v) (AUM)'s Secretary general circulates the notice of the meeting and the agenda one month before the seating of the General Assembly.

(iv) (AUM)'s President presides over all sessions or meetings or Conferences he or she may delegate one of the members of (AUM) to preside over the Conference of a General Assembly when properly constituted.
The Conferences or meetings are held at a place, a day and time are all indicated in the notice (s) to the members.

(iiv) The General Assembly takes place at such time and a date as the administration committee may from time to time when the administration committee fails to seat within fourteen days (14) of Calender months without the reasonable cause, the Leaders of the other organs may convene the General Assembly, or even to cause an extra-ordinary Conference or meeting in the interest of (AUM).

(iiiv) In accordance with the General Assembly with its discretion may hold once or twice a Conference in a year where it deems necessary but Local Black coordination human committee meetings may be held and presided over by Local Black Coordinator after three months.

(x) All meetings or sessions are opened by a word from the President or Local Black coordinator of Local Black Coordination committe or his or hers representative and finally closed by the President or his or hers delegate.

ARTICLE 2: Functionalities of General Assembly:

The General Assembly as the supreme organ performs the following functions;

(i) The General Assembly has the powers guaranteed by (AUM) African united movement's articles of association to constitute the disciplinary committee in order to guide, decide, an arbitrate on any matter and for the determination of any dispute referred to it for that purpose from its subordinate organs or by any aggrieved member of (AUM).

(ii) The General Assembly has the power within an Article 13 of (AUM) African united movement to Amend and modify its articles and to enact all the rules, regulations and or by-laws where is necessary for developmental purposes or because of the current circumstances of (AUM).

(iii) G.A approves the budgets, proposals, receives and approves audited financial reports from the administration committee, minutes and reports of all organs of (AUM) and reviews all the decisions taken by all the organs in Uganda and the rest of Africa.

(iv) G.A elects the President of (AUM), Administration committee and the executive committee has all the powers to conduct the elections at the end the term in the office is included, but not limited to the circumstances set forth under this Chapter V of (AUM).

(iiv) G.A has the power to invite all Non-members or other human beings at the General Assembly as observers in accordance with its discretion, where it is deemed necessary for the transparency and smooth running of (AUM).

(iiiv) G.A deliberates on any issue which may be raised up by any member of Black human community committees.

ARTICLE 3: Procedures of the Administration

(i) The President acts as the Leader of (AUM) African united movement.

(ii) If the President does not attend at the Conference based in Uganda and then, the members of (AUM) who are present may choose one of the members to act in the absence of the President and he or she takes the position of the Presidency before the Conference starts.
The President and a selected a committee of Co-founders of (AUM) and hold the Conference (s) at least twice a year.

(iii) Members are informed about the date of the proposed meeting at least not less 21 days before, it is due to take place.

(v) Members are informed about the issues to be discussed (Agenda) at the Conference, especially when appointment of a new member into (AUM).

ARTICLE 4: Quorum at General Assembly

(i) The required quorum at the General Assembly should be half of the members. If the quorum is not met, a second conference should be called upon and the present members should hold the Conference.

(ii) The determination of any issue at the General Assembly should be by simple majority vote of the full members present in personalities (proxies should be allowed provided the proxy is a kin member of (AUM) and the President has to cast a vote at the General Assembly in the case of a tie vote and the vote of the President makes it the final discussion.

(iii) The method of voting be by raising up the hands or by secret ballot in case of any controversial issue to be decided by the General Assembly. However, without prejudice to the fore-mentioned, the President or a delegate maybe at liberty to decide to vote by secret ballot in his or hers discretion when he or she deems it necessary.

ARTICLE 5: COMPOSITION OF THE EXECUTIVE COMMITTEE

(i) The Executive Committee would be composed of the founding members and at least three other ordinary members or from the public, Individuals from the public elected by the founding members to be members of the Executive Committee must be honest human beings promoting social, economic development and the membership is ‘Honorary’.

ARTICLE 6: BOARD OF DIRECTORS

(i) The members of the Executive Committee are appointed from among themselves or the public, three and not more than five members to be Directors of the Association and its properties.

(ii) The Directors shall hold offices as long as they are associated with the Association until removed by a Resolution of Association of members of the Executive Committee.

(iii) Directors must be able and willing to give and devote time to the Association and ensure efficient administration of the company and the fulfillment of their duties as Directors.

(v) Directors shall have the duty of protecting the company’s property and shall ensure that the way in which the company is administered is not open to abuse and those policies of the Association shall be constantly maintained and respected.

ARTICLE 7: QUALIFICATION OF DIRECTORS

(i) Any human being is interested in social developments,
is not be discharged as bankrupt.

(ii) He or She must have respectable characters.

(iii) Any trustee may resign upon giving chairperson of the Executive Committee one month notice in writing.

(v) In case of any vacancy in the office of the Directors through resignation, bankruptcy or death, an appointment of new Director (is be vested in the Executive Committee).

ARTICLE 8: THE EXECUTIVE COMMITTEE AND ITS POWERS

The Executive Committee is the supreme decision making body on all matters pertaining to the Association and the Executive Committee is Elected:

(i) The President is elected for five years in the office and he or she presides over all the meetings of the Executive Committee and remains in the office until the following election. He/she may however be elected for another term of office not exceeding two more terms.

(ii) Adopts the activity report established by the Secretariat and defines the broad lines of the action of the Association.

(iii) Adopts the financial report established by the Secretariat on the basis of the budget and annual accounts verified by the auditors and approved by the said committee.

(v) Five years (renewable committee members and designates from among the latter the President of the Committee, Vice president, Director General, Secretary, Treasurer.

(iv) Approves the by-laws and their modifications.

(iiv) Fixes sum of the subscriptions of partners of the Association.

(iiiv) Nominates Auditors; and decides on request for admission to the Association.

ARTICLE 9: POWERS AND FUNCTIONALITIES OF THE OFFICE BEARERS

President:

(i) Presides over all meetings of the Association.

(ii) He or She the signs on the minutes of all meetings of the Association.

(iii) He or She is one of the signatories on the Bank Account of the Association.

The Vice president:

(i) Assumes the powers and functions of President in case of his or her absence.

The Secretary:

(i) He or She signs on the minutes of all meetings of the Association.

(ii) He or She is a secretary to the Executive Committee and in such capacity ensures that, a true record of minutes of all proceedings of the Association are properly distributed and posted together with the agenda.

The Director General is:

(i) Spokesperson of the Association.

(ii) One of the Founding members of the Association.

(iii) The Chief Technical Advisor of the Association.

(v) Carries out correspondences related to the work of the Executive Committee which cannot be entrusted to the Secretary and ensures that a systematic archive over all correspondences as well as other documents related to the work of the Association is kept.

(iv) Attends the executive committee and participate in such meetings as a voting member.
Be Director-General Plenipotentiary of the Association.
Be a co-signatory to the minutes of the meetings of the Association.

(iiv) Implements all decisions of the Executive Committee.

(iiiv) Responsible for day-to-day administration of the Association and its programs and the Association’s growth.

(x) One of the signatories on the Bank Account of the Association.

The Treasurer:

(i) Complete accurately record of all financial matters of the Association is properly kept.

(ii) Receives all subscriptions, donations, grants and any other funds on behalf of the Association and ensure that they are properly banked in the Association’s bank account.

(iii) Ensures that proper and complete financial statements are regularly prepared and present such statements in the Executive Committee.

(v) Ensures that a complete and accurate record of all financial matters of the Association is properly kept.

(iv) Receives all subscriptions, donations, grants and any other funds on behalf of the Association and ensure that they are properly banked in the Association’s bank account.

(iiv) Ensures that proper and complete financial statements are regularly prepared and present such statements in the Executive Committee.

(iiiv) Keeps a complete and accurate record of all financial matters of the Association and maintain an up-to-date inventory over all assets and materials belonging to or in the care of the Association.
(x) Deposit in the Association’s bank account all subscriptions and any other funds received by the Association.

(ix) Prepare annual plans, program proposals and budgets for presentation to the Executive Committee. Such annual plans and budgets shall be presented to the Executive Committee at least two months before the beginning of the financial year.

ARTICLE 10: MEETING OF THE EXECUTIVE COMMITTEE

(i) The Executive Committee would meet at least twice a month.

(ii) Executive Committee should be convened by the President or by the Director General or petition signed by four of the committee members.

(iii) Notice of all meetings should be duly signed and dated by the Hon. Secretary or Director General and should be posted at least two weeks before on ordinary meetings and seven days before on emergency meetings and all such notices should be distributed to the Founding members and Associate partners.

(v) The quorum of all meetings of Executive Committee should include at least three of the founding members of the Association, of whom would include the President, Secretary and Director General, in addition to two other members.

(iv) Voting process in all meetings of the Association would be by showing of hands unless the members attending the meeting decide.

(iiv) Elections of the Executive Committee Members would be by secret ballot.

ARTICLE 11: The Administration committee (Composition and functionalities)

The Administration Committee performs the following functions:

(i) The Administration committee is constituted by the executive committee

(ii) The Administration committee holds its meeting by a written notice from General Secretary or his/her represented and circulated to all members within a reasonable time of at least seven days (7) after the last Conference.

(iii) The Administration committee is an implementer organ which executes all decisions of the General Assembly for day to day of the Administration committee of (AUM).

(v) G.A is responsible for drawing plans and Policies of (AUM).

(iv) G.A executes programs established and decisions taken by the General Assembly and study new Proposals.

(iiv) G.A approves budgets, financial and administration reports.

(iiiv) G.A plans the establishment of new branches in Uganda and the rest of Africa and through Local Black coordination committee of (AUM).

ARTICLE 12: The Local Black Coordination committee

(i) Is responsible for the coordination of Local Black activities in Uganda and Africa and within the departments of African united movement and it reports directly to the President (a Founder) and the scope of local Black activities include:

(ii) To protect a Black human identity and an African territorial identity against Non-Black human beings such Brown human/artificial Brown human beings and White human beings in Africa and around the World.

(iii) L.B.C.C educates Local Black communities not to use Racism propaganda ideology machine or a Racist word in Uganda and Africa because it does not make any sense to use Racism in Africa which is only encouraging Black human beings to be lazy, Black human males-females to engage themselves into mixed human race marriages and mixed human race sexual relationships against Non-Black human males or females as the result the creation of more artificial Brown babies of mixed human race in Uganda, Africa and around the world.

(v) L.B.C.C deals with the basic needs of Vulnerable human beings of Local Black communities include: Homeless children, Refugees, disabled Black human beings and Elderly black human beings in Uganda and the rest of Africa.

(iv) L.B.C.C educates Local Black communities to vote wisely for seek of peace and stability in order to void conflicts in Uganda and the rest of Africa.

(iiV) L.B.C.C plans for Project planning in order to generate income for African united movement.

(iiiv) L.B.C.C implements more other Objectifies of (AUM) African united movement.

(x) L.B.C.C advocates for implementation of "(U.P.N.H.B) (Universal Protection of Natural Human beings)" in order to Abolish the mixed human race marriage and mixed human race sexual relationships and "(U.P.L.R.I.A) ( Universal Prevention Refugees in Africa" in Uganda and the rest of Africa.

CHAPTER IIV

ARTICLE 1: The President is responsible for;

(i) The President administrates all organs of (AUM) and he or she has the power to appoint, reshuffle and to re-instate any member of the administrative committee and as well as the National Black coordination committee.

(ii) The President is elected for four years term in office and it is renewable only once and without any conditions but the Founder as the Brain child and who took 15 years to establish African united movement with the guidance of Almighty God is excluded unless he stands down or retires.

(iii) The President is a supreme head of the administration committee and Local Black coordination committee.

(v) The President ensures that (AUM) is being run smoothly, efficiently, peacefully and to promote discipline and maintained at all levels.

(iv) The President has the power to dissolve the administrative committee and the National Black coordination committees in case of incompetence, bad conduct which are prejudicial or against the interests or the Objectives or Ideologies of (AUM).

(iii) The President is a supreme head of the administration committee and Local Black coordination committee.

(v) The President ensures that (AUM) is being run smoothly, efficiently, peacefully and to promote discipline and maintained at all levels.

(iv) The President has the power to dissolve the administrative committee and the National Black coordination committees in case of incompetence, bad conduct which are prejudicial or against the interests or the Objectives or Ideologies of (AUM).

(iix) The President has the power to be a signatory on all (AUM)'s Bank accounts to together with other official members of African united movement and also
Strictly the President must be a Black male or female only.

ARTICLE 2: (The Vice-President)

The Vice President is appointed by the President and he or she can act as a delegate in the absence of the President and administration committee designates other responsibilities to him or her time to time and he or she must be a Black human male or female.

ARTICLE 3: The Secretary General's duties:

(i) S.G has endeavor to solve, mediate and arbitrate any misunderstanding of the Local Black coordination committee members.

(ii) S.G has to ensure that the execution of the (AUM)'s Policies and plans are implemented.

(iii) S.G has to ensure that law, order, peace and harmony amongst the members of (AUM).

(v) S.G has to represent (AUM) in courts of law, in case of any civil or criminal case is filed against (AUM) itself, him or her and the officials. In case of necessity, she or he in accordance with the powers granted to him or her under this an Article 8, to hire any lawyer(s) to assist (AUM) and its officials on the official duties of (AUM).

(iv) S.G has to advice the President about all matters relating convening of the meetings and extra-ordinary meetings as scheduled and to keep proper records of all the minutes.

(iiv) S.G has to keep (AUM)'s seal, a stamp and the very important documents safely and as well as his or hers appointments.

(iiiv) The Secretary General has to be appointed by the General Assembly for a term in office with remuneration and upon such terms conditions of services as they may think fit.

(x) Any Secretary General is appointed but maybe suspended or to be removed by the General Assembly on the basics of being found incompetence, fraudelent or for other bad behaviors.

(ix) Secretary General must be a Black human being only.

(iix) If S.G is absent from the office of the administration committee then his or hers assistant or deputy or any other an officer of the administration committee could be duly assigned to perform the full duties of the S.G.

ARTICLE 4: The Deputy Secretary General's duties

Deputy Secretary General performs the duties on behalf of Secretary General in his or hers absence.

He/she is appointed by the General Assembly to carry out all duties which are assigned to the Continental Secretary General and he or she must be a Black human male or female.

ARTICLE 5: The Secretary for information and Public Relations

(i) He or she is an official spokesperson who speaks on behalf of (AUM).

(ii) He or she Represents (AUM) for the Public media from the Executive committee.

(iii) He or she collaborates with other links of information gatherings.

(v) He or she is the head of the Public media committee of (AUM).

(iv) He or she is liable for all foreign relations of (AUM).

(iiv) He or she is liable for all statistics of (AUM) and he or she strictly must be a Black male or female.

ARTICLE 6: Local Black coordination committee Secretary

(i) The Local Black coordination committee Secretary in Uganda is responsible for;

(i) Educating Local Black communities to respect and protect Black human cultures and Black human Languages in Uganda and Africa.

(i) The Local Black human cultural programs, Local Black human ancestral cultures, a Black human history in Uganda, Africa and he or she has to get the directives from the a Executive committee.
Promoting the Natural Black human right law of unborn babies in Uganda and the rest of Africa.

(ii) Promoting the "(U.P.L.R.I.A) ( Universal Prevention Refugees in Africa" in Uganda and the rest of Africa.

ARTICLE 7: The Local Deputy Black coordination committee Secretary Responsible for;

(i) Conducting the Local Black human culture activities on behalf of a Local Black coordination committee Secretary in his or hers absence.

(ii) The implementation of all the programs assigned by Local Black coordination committee Secretary or the Executive committee.

ARTICLE 8: How to elect the President

(i) He or she has to be a member of (AUM) for more than 5 years.

(ii) He or she has to be a Black human male or female.

(iii) He or she must have good behaviors and integrity.

(v) He or she must be honest and disciplined person.

(iv) He or she has to be educated, competent and courageous in the way in which to promote African united movement.

(iiv) He or she has to be a responsible, self-sacrificing, organized and socially in good terms for all members of (AUM).

(iiiv) He or she must not engage in any activity opposed to the guidelines, Philosophy, Ideologies and the Objectives of (AUM) as spelt out under this Constitution and any other rules and regulations.

(x) He or she must have contributed for the development of (AUM).

(ix) He or she has to be a human being of sound mind.

(iix) The Founder as the Brain, Kawere Mugwanya H. of (AUM) is excluded.

ARTICLE 9: How to elect General Secretary

(i) He or she has to be a member of (AUM) and must have fulfilled the conditions which are in an Article 13 of this Association.

ARTICLE 10: The Treasurer/ Secretary Finance

(i) He or she is elected by a General Assembly to coordinate financial activities of (AUM).

(ii) He or she has to draft budgets, finance proposals, Accounts and manage the funds of the (AUM).

(iii) He or she proposes the budget to the General Assembly in which it may be rejected, amended or debate and adopted by General consensus after it is voted for.

(v) He or she has to be answerable for the matters relating to the diligent and smooth execution of (AUM)'s financial transactions.

(iv) He or she has to make sure that (AUM)'s finances are run properly and the Accounts are maintained of income and expenditures.

(iiv) He or she has to make sure that an Auditor is duly appointed by the President and He or she has to make sure that all Accounts are audited periodically.

(iiiv) He or she has to receive all the subscriptions from members of (AUM), all funds from donations, grants and other fund sources on behalf of (AUM) and He or she has to make sure that the funds either in the form of cash, Cheques and Bank drafts are properly deposited on the Bank Account (s) of African united movement.

(x) He or she has to pay all debts owed by (AUM) in consultation with the administration committee.

(ix) He or she has to make sure that the financial statements are regularly prepared and they must be presented to the Bank signatories of African united movement's Bank Account (s).

(iix) He or she has to keep properly the Accounts of all sums of monies received, precepts, expenditures and liabilities of (AUM).

ARTICLE 11: Local Black Coordinator

(i) He or she has to be elected by the General Assembly to coordinate the activities of Local Black coordination committee through the Administrative committee as follows:

(ii) He or she has to coordinate the Local Black activities and the programs within the different departments of (AUM) and to report to the administrative committee in Uganda.

ARTICLE 12: An extra-ordinary General Assembly

(i) If there is an urgent matter to be discussed and then an extra-ordinary meeting or conference maybe convened within a period of time not exceeding 30 days by;

(i) The President or his or her delegate would preside over the meeting

(ii) The President has to preside over the an extra-ordinary General Assembly with an Article (2) of this Constitution or a petition to that effect being filed by (20%) of the fully Registered members of (AUM).

(iii) In order an extra-ordinary meeting to take place the quorum of the members has to be half of the fully members of (AUM).

(v) The extra-ordinary meeting of General Assembly has to regulate its own procedure about the subject to the provisions of this an Article.

CHAPTER IIIV

ARTICLE 1: ANNUAL GENERAL MEETING

(a) The Annual General Meeting of the Executive Committee shall be in the month of January each year and not later than February of each year.

(b) Associate Partners of the Association may attend the Annual General Meeting and may participate in the proceedings including nominations but without voting rights.

(c) The Annual General Meeting should deal with these:

(i) Annual reports and audited financial statements of the previous year.

(ii) To Amend the Association , if any Program plans and budgets for the current year.

(iii) The Annual General Meeting shall consider a non-binding vote of no confidence in the Executive Committee or any member of the Association, if such motion is signed by at least five members of the founding body and presented to the Chairperson through the Director General or Secretary at least twenty nine days prior to the General Meeting.

(v) The President shall give notice of such motion to all members at least twenty one days before the Annual Committee Meeting, but the President and Secretary of the Director General shall call an emergency meeting of the Executive Committee within six weeks, to resolve the crisis.

ARTICLE 2: SOURCE OF FUNDRAISING

(i) The Association has powers to obtain, raise and receive finances from:
Membership fees and subscriptions as will be determined from time to time by the Executive Committee.

(ii) Donations, grants and gifts from local and international sources.

(iii) Interests and profits accruing from property and investments of the Association.

Borrowing from individuals, banking institutions, companies or any other financial institution with terms approved by the Executive Committee.

Any other lawful means of fundraising approved by the Executive Committee.

ARTICLE 3: SUSPENSION OF FUNDS AND ASSETS

(i) The Association shall keep all accounts of all sums of money and gifts received and expended in the manner in which receipts and expenditures take place.

(ii) The Association shall open and maintain bank account which shall be in the name of the Association.

(iii) There shall be three co-signatories to the Association’s bank account, namely;

(a) President.

(b) Treasurer.

(c) Director General.

(v) Two of whom shall be required to sign Cheques, transfers and withdraws.

(iv) Financial allocations and expenditures not exceeding Ug. 1,000,000/= (One Million Shillings only) shall be approved by the Director General, and countersigned by two other persons authorized as co-signatories by the Executive Committee.

(i) Transactions exceeding this amount shall be authorized by the President countersigned by Director General.

(iv) The Director General shall issue receipts in the names of the Association of all funds received. Single receipts in excess of Ugs. 1,000,000/= (One Million shillings only) shall in addition be signed by the Treasurer.

ARTICLE 3: TRANSITIONAL PROVISIONS

(i) All human beings who attend or represent in the General Meeting discuss and approve in this Association, shall become Founding Members, enjoying full membership after fulfilling their financial obligations to the Association without following any subsequent admission to membership as provided that, they meet the required qualifications for an ordinary or associate member.

(ii) Any member who proposes to transfer (Hereinafter called “The Retiring Member”) shall give notice of his desire in writing (hereinafter called “A Notice”) to the company.

(iii) Every such notice shall specify the denoting membership desired to be transferred. No notice shall be withdrawn without the sanction of the Executive Committee.

(v) A member may transfer membership of which he is the registered holder to his spouse, child, remote son in Law, daughter in law, parent, brother, sister, nephew or niece and any share of a deceased member may at the option of his person representatives or to the widow, widower, child, remote son in Law, daughter in law, parent, brother, sister, nephew or niece of the deceased member whereupon the rights of the pre-emption herein before conferred on members would not arise. Provided however that the Executive Committee may declare to register such transfer if:-
The company has lien on the membership proposed to be transferred;

(iv) The registration of the transfer would cause the number of members to exceed the maximum permitted by article 1(b) hereof;

(iiv) The board does not approve of the transferee,
subject to the provisions of the a foregoing article a human being becoming entitled to a membership in the case of the death or bankruptcy of the member and upon such evidence being produced as may from time to time be required by the Executive Committee, to have the right either to be registered himself to make himself such transfer of the membership as the deceased or bankrupt person could have named, but the board shall in either case have the right to decline or suspend registration as they would have had in the case of a transfer by the deceased or bankrupt person before the death or bankruptcy.

(iiiv) A human being becoming entitled to a membership by reason of death or bankruptcy of the holder will be entitled to the same rights and other advantages to which he or she would be entitled, if he or she was the registered holder of the membership except that he or she should have been registered before as a member in respect of the membership be entitled in respect of it to exercise any right conferred by membership in relation to meetings of the Association.

ARTICLE 4: COMPANY SEAL

(i) The Executive Committee shall provide for safe custody of the Seal which shall only be used by the authority of the Executive Committee and every instruments to which it shall be affixed shall be signed by an office bearer and shall be countersigned by the Secretary or by some other member of the executive appointed by the committee for that purpose.

CHAPTER X:

ARTICLE 1: Bank Accounts

(i) (AUM) African united movement's funds are used in any occasion which goes towards the attainment of its Policies, Idealogies, Objectives and the liquidity or cash are kept in Uganda with a Bank Account(s).

(ii) The Administrative committee of (AUM) has to be transparent in such behavior as below;

(a) (AUM) African united movement opened its a Local Bank Account in Kampala central, Uganda with a Bank called DFCU Bank Account Number: 01441114533223 located at market street with its name called African united movement.

(b) The Local Bank Account(s) of African United Movement has three (3) signatories include: President or Founder, a Treasurer and a General Secretary provided that two signatories can withdraw the funds from its Bank Account(s).

(c) (AUM)'s Financial allocations and expenditures are only be incurred, if they are within approved operating budget and therefore, there is no an expenditure outside the approved budgetary frame work is incurred without prior written approval of administrative committee by the President.

(d) The Treasurer has to issue the receipts in the name of African united movement for all funds received from the different sources.

(e) There should not any such Asset be purchased or acquired without the prior approval of Administrative committee.

(f) A single receipt of cash or a cheque has to be deposited the following day .

(g) The Treasurer has no power to keep cash in his or her possessions for more than one day without the proper reasons of why he/she did not deposit the money to the National Bank Account of (African united movement).

(h) The loss or damage to any property of (AUM) must be reported immediately in writing to the President.

(l) The Treasurer has to make sure that proper payments of employees' wages and other remittances are made on scheduled time.

(j) Local Bank Account(s) of (African united movement) can be opened by the administrative committee or Local Black coordination committee in liaison with the General Assembly may decide, except as maybe otherwise the authorized contracts, Cheques and the negotiable instruments are assigned by any of the following members;

(i) The President or a Founder as the Brain Child of (African united movement).

(ii) The Treasurer

(iii) The Secretary General, an except as maybe expressly provided under this Articles herein but the Financial year of (AUM) ends on 28th or 29th of February yearly.

ARTICLE 2: Sources of Funding and Assets

(i) (AUM) African united movement's sources of funds consisted of;

(a) Donations from Local donors, Benefactors e.g Presidents, Politicians, Ordinary human beings and many more other sources from Uganda and the rest of Africa and around the world.

(b) Grants and gifts.

(c) The money contributed by members of (AUM).

(d) The money accruing from the fundraising activities.

(e) Subscriptions by members of (AUM).

(f) Income generating projects and affiliated activities with other Non-governmental organizations and governments and Political organizations in Uganda and the rest of Africa, etc.

ARTICLE 3: Audit

(i) The administrative committee appoints the Auditor to audit the Financial books of (AUM).

(ii) The money is received and spent by (AUM) in the respect of which the incomes and expenditures which take place.

(iii) The sales and purchases by (AUM).

(v) The administrative committee from time to time makes or checks the books of Accounts to be prepared and be laid down before the General Assembly and the executive committee, meetings, Incomes, Expenditures and Balance sheets, Branch Accounts and reports of the Auditor.

(iv) The copy of every Balance sheet including all schedules explaining some Account(s) are sent by Treasurer to the Founder as a President and the Donors or Funders.

(iiv) The following Books or records are kept by (AUM) and up to dated:

(iiiv) A Registry of members which shows the Names, Addresses, Occupations, the date of admission to and cessation of membership.

(x) A Registry of Assets or inventory book.

(ix) A Book of minutes and the file for board meeting.

(iix) All Books whether of Account or records are kept at the Registered a Continental head office or at a place (s) as the Continental General Assembly feels fit and always is open for inspection by the administrative committee.

ARTICLE 4: Benefits and Beneficiaries.

(i) Human being assistance to the displaced members of local Black communities due to civil wars or social conflicts and Political conflicts and Natural disasters e.g Floods desertification etc.

(ii) The Beneficiaries are members of Local Black communities through different projects or technical trainings in order to acquire different skills so that, they can be able to solve their own financial problems.

(iii) African united movement is to lend some money to its registered members who fulfill the requirements of being a member of (AUM) such as membership fee, subscription fee and two recommenders

(v) The awards to the members of (AUM) who work hard to promote and protect the African identity and a Black identity.

(iv) School Children who come from poor Black local families can be assisted for the necessary school needs.
Younger Black children would live violent free lifestyle and a Child abuse, a Child soldier, Black Languages' differences and Political conflicts in Uganda and political conflicts would be reduced in Africa.

(iiv) Black human females would be empowered and start their small income generating activities, if (AUM) African united movement gets Financial help from the Ugandan government of which in order to upleft poor Black local communities in Uganda.

CHAPTER IX:

ARTICLE 1: Assets of (AUM) African united movement

(i) The subject to the provisions of clause (2) of this An Article, the administrative committee has to make sure that:

(a) The Land and properties are kept by (AUM) or in the trust for (AUM) which is vested in the official custodian for charities.

(b) All investments which are held by (AUM) or on behalf of (AUM) to be vested either in a corporation entitled to an Act as a custodian trustee or in not less than three individuals appointed by them as holding trustees and are not liable for the Acts and the defaults of its members.

(c) If a corporation is entitled to act as the custodian trustee is not appointed to hold the property of (AUM) and then the administration committee may permit an investment to be held by the (AUM) trustee of in the name of a clearing Bank, trust corporation and a Stockbroker Company which is member of an International Stock Exchange (any subsidiary of such as nominee for the administration committee and may pay such reasonable and proper remuneration for acting as such.

(d) All investment plans of (AUM) in real estate's property or other project ventures are vested in the administrative committee, if deemed necessary.

CHAPTER IIX:

ARTICLE 1: Final Dispositions

(i) (AUM) is in this context is the abbreviation of African united movement as the Association.

ARTICLE 2: The Seal

(i) (AUM) African united movement's seal has to be designed and approved by the General Assembly.
The seal is kept by the Secretary General of (AUM) and is used to authenticate the official documents of (AUM) or the documents to which the (AUM) is a party to, by its duly authorized officers.

ARTICLE 3: Amendments

(i) Any member who wishes to propose an amendment to these Articles has to give a notice of such a proposal by sending it to the Secretary General of (AUM) at least two months before the meeting of the General Assembly which gives the all details of the proposed amendments.

(ii) When the General Secretary receives that proposal then he or she has to circulate the copies to all the members.
The Amendment has to be effected by a Majority vote of two thirds (1/3) 75% of the members who are present to vote.

ARTICLE 4: Human resource officers

There is no an officer or a member of (AUM) has in his or hers personal capacity transact any Business in the name of (AUM).

There is no an officer or a member of (AUM) has the power to apply or to request any donation (s) both locally and an internationally for the Financial or Material assistance without the authority of the executive committee.


Every an official member has to account to African united movement for any benefit derived by her or him from transaction concerning the (AUM) or from any other use by him or her of the property or name of (AUM).

ARTICLE 5: Indemnity

(i) Every Director, Manager, Secretary and other officer or servant of the Company shall be indemnified by the Company against all costs, losses and expenses which he or she may incur by reason or any contract entered in, or act done by him or her as such officer or servant or in any way in the discharge of his or her duties.

The office of the Director shall be vacated if the holder:

(i) Becomes bankrupt or insolvent or makes any arrangement, composition with his creditor, Becomes prohibited from being a director under the provisions of section 189 of the Act, Becomes of unsound mind, Dies. Resigns his office by notice in writing to the company and Shall have been absent without permission of the board from six consecutive meetings of the board.

(ii) Unless otherwise determined by the Company in General Meeting, a person under the age of eighteen years may not be a pointed to the office of Director or to Act as alternate director and a director shall be deemed to retire at the Annual General Meeting next following his attaining the age of seventy years.

(iii) Regulations 88 of the Table “A” shall not apply to the Company.

ARTICLE 6: Dissolution

The dissolution of African united movement would only be announced by the resolution of the General Assembly by the decision of half members.

In the case of dissolution and therefore, liquidation all liabilities, Assets and the Balance of funds on the Account would be transferred to any other Non-profit making organization which promotes the interests of Black local communities in Uganda and Africa also with the same Objectives and Ideologies as (AUM) African united movement.

ARTICLE 7: By-laws

For other provisions not specifically enshrined under the Constitution of African united movement are referred as by-laws enacted in conformity with this Constitution.

ARTICLE 8: Interpretations

Any dispute may arise out of the interpretation of these Articles which cannot be settled by the High council or the General Assembly is referred to Five (5) competent and prudent human beings to be appointed by the General Assembly.

For the case of all Internal dispute resolution mechanisms exhaust and the dispute is not resolved and then General Assembly is at liberty to refer the aggrieved party with the dispute (s) and his or hers competent lawyer who agrees upon by all the parties concerned with the dispute.
Under the Articles of Association African united movement unless the context otherwise requires any reference to the Men or the Gender includes Women or female gender.

The Constitution of (AUM) African united movement is the highest Legal instrument of a Non-governmental organization.
(AUM) African united movement works within local Black communities in Uganda and local Black communities in Africa.

ARTICLE 9: Appendix

We fore-named persons Assembled at Kampala the 10th day of Sept 2015 and we do solemnly commit ourselves to the Objectives and ideologies in the spirit of African united movement's documents as its Constitution and in witness whereof We append our names as below.

ARTICLE 10: MISCELLANEOUS

All members not covered by the Memorandum and Articles of Association shall be dealt with in accordance with the provisions of the Companies Act, 2012.

We, the several persons whose addresses and descriptions are hereunto subscribed are desirous of being formed into a company in pursuance of these Articles of Association.
